INDIA; UNITED ARAB EMIRATES —Abu Dhabi-based conglomerate International Holding Company (IHC) has entered preliminary discussions to acquire a strategic position in Bandhan Financial Services (BFSL), the holding company and promoter entity of Bandhan Bank. The promoter entity is working alongside investment banking firm Jefferies to secure strategic capital partners for a proposed equity stake ranging between 25 percent and 32 percent.
The potential transaction offers an exit route for long-term institutional shareholders, including GIC and the International Finance Corporation (IFC). Together, these private equity stakeholders maintain a combined interest of approximately 30.3 percent in the parent entity, a position currently evaluated between $500 million and $600 million. Bandhan Bank operates as a major Indian private sector commercial bank focused on microfinance, retail, and enterprise banking, while IHC is a UAE-based sovereign-backed investment firm managing a diverse global asset portfolio.
Regulatory frameworks mandate that bank promoters progressively dial down their shareholding within specified timeframes to comply with central banking guidelines on corporate governance and diversified ownership. By bringing institutional growth capital into the primary promoter structure, the holding group can align with regulatory capital targets without forcing direct market sell-offs of the listed banking entity.
For global investors and financial institutions, the entry of sovereign-backed capital into Indian private banking highlights sustained international appetite for domestic financial services platforms. Acquiring stakes at the promoter level allows strategic funds to access high-yield credit networks and microfinance ecosystems, while providing stable liquidity solutions to primary holding structures.
