INDIA —Global sustainable infrastructure investor Actis has integrated its Indian road investments under a single platform, NXT-Infra Trust, creating a consolidated network of 11 operational road assets covering more than 3,000 lane kilometers across 10 Indian states. The consolidation was achieved as NXT-Infra Trust completed the acquisition of transportation assets previously held under Actis Long Life Infrastructure Fund 2, combining them with assets from Actis Long Life Infrastructure Fund 1. To support the transaction, NXT-Infra and its sponsors secured INR 11.875 billion in funding, supported by major domestic institutional investors. Following the transaction, funds managed by Actis collectively maintain an approximate 71% equity stake in the unified trust.
Actis is an international private equity firm focused on sustainable infrastructure across growth markets, operating as the infrastructure arm of General Atlantic with combined assets under management of approximately $130 billion. The firm targets critical defensive assets across the energy transition, digital infrastructure, and transportation supply chains.
The creation of a unified infrastructure platform mitigates asset-specific operational risks by building scale across geographically diverse trade corridors. Prior to this integration, managing separate road holdings fragmentated operational oversight and cash flow management. By centralizing management and pooling 11 distinct assets, the platform establishes operational synergies, improves maintenance standards, and optimizes capital structures across both toll-based and annuity-based projects.
The structural expansion directly affects the Indian infrastructure and asset management sectors, as well as institutional debt and equity providers seeking defensive long-term yields. The consolidated asset mix yields roughly 55% of revenues from Hybrid Annuity Model (HAM) projects—which deliver predictable government-backed payments—and 45% from toll roads, which capture upside from regional economic growth and rising traffic volumes. Key assets integrated into the platform include high-density routes such as the Delhi-Meerut Expressway, the Vadodara Kim Expressway, and the Second Vivekananda Bridge Tollway.
For global private equity sponsors and institutional capital, the model demonstrates a viable pathway for aggregating fragmented road projects into yield-oriented investment trusts capable of attracting domestic institutional liquidity. Scale operational platforms in emerging markets provide stronger balance sheets, enhanced liquidity options, and reduced revenue risk, signaling continued reliance on infrastructure investment trusts (InvITs) to recycle private capital into expanded transport infrastructure.
