Aditya Birla Renewables Limited has agreed to acquire Solenergi Power Private Limited, including the Sprng Energy group, from Shell for $1.8 billion.
Aditya Birla Renewables Limited (ABRen), the dedicated clean energy platform of India's Aditya Birla Group backed by BlackRock's Global Infrastructure Partners, is set to absorb a massive local green power portfolio. According to an official company announcement, the firm signed a definitive agreement to purchase 100% of Solenergi Power Private Limited from a subsidiary of Shell plc for $1.8 billion. The transaction, which includes the entire Sprng Energy group of companies, is projected to close by the end of 2026 pending standard regulatory clearances.
This divestment represents a significant tactical shift for Shell as it recalibrates its global power business. The multinational energy giant is transitionally pivoting away from direct ownership of physical generation assets in certain regions, moving instead toward an asset-backed trading model intended to optimize capital recycling and boost return on average capital employed by 2030. Despite offloading this clean energy unit, the vendor maintains that India remains a core market for its integrated liquefied natural gas, downstream mobility, and lubricants divisions.
The transaction heavily consolidates the South Asian renewable energy landscape. ABRen instantly inherits a robust 5.0 gigawatts-peak portfolio, consisting of 3.3 GWp of operational wind and solar projects alongside 1.7 GWp of contracted capacity. For institutional investors and utilities, this multi-billion-dollar deal underscores the accelerating commercial maturity of India's green infrastructure, proving that local corporate platforms possess the capital depth and strategic backing to execute major asset consolidations as global oil majors rebalance their transition strategies.
