Aegis Logistics has agreed to acquire the energy logistics provider Tristar from Agility Global in a transaction valued at USD 1.5 billion. The deal encompasses a total enterprise value of USD 1.5 billion and equity value of USD 882 million, with completion slated for March 2027.

UNITED ARAB EMIRATES —Agility Global PLC announced that its subsidiary has entered into a definitive agreement to divest its entire stake in Tristar, an international energy logistics firm, to India-based Aegis Logistics. The structural agreement pegs the enterprise value of Tristar at USD 1.5 billion, with the equity value standing at USD 882 million. This corresponds to a valuation multiple of 6.0x based on the target company's 2025 earnings before interest, taxes, depreciation, and amortization. Agility currently holds a 65.12% equity interest in Tristar, with the transaction expected to finalize by the end of March 2027, subject to customary regulatory clearances and closing conditions.

The acquisition holds considerable strategic importance for the cross-border logistics and energy infrastructure sectors. By absorbing Tristar's global capabilities, Aegis Logistics seeks to expand its footprint in the integrated oil, gas, and chemical supply chain. For Agility Global, the divestment aligns with portfolio optimization strategies, allowing the organization to reallocate capital towards core growth areas. The transaction structure also accounts for certain retained strategic fuel storage assets valued at a minimum of USD 145 million, which will be managed through a separate disposition process.

Regulatory authorities and market competition watchdogs across the relevant operating jurisdictions will closely evaluate the consolidation of major energy logistics assets. The integration of international operations with an India-headquartered logistics leader underscores shifting trade pathways and cross-border capital deployment within the energy sector. Industry observers note that supply chain resilience and specialized chemical handling capabilities remain key drivers behind large-scale industry M&A activities.

Institutional investors and market participants are monitoring the phased financial consideration structure, which includes deferred payments and earn-out provisions tied to performance milestones. The transaction signals continued robust capital allocation towards global supply chain infrastructure, providing enhanced competitive positioning for the acquiring entity within international energy transport markets.
