UK biopharmaceutical company Ambrose Healthcare has acquired Dutch firm AM-Pharma for up to €161 million. The deal expands Ambrose's rare disease clinical portfolio with a Phase 2-ready enzyme replacement therapy for adult hypophosphatasia and provides its first operational base in Continental Europe.

NETHERLANDS; UNITED KINGDOM —UK biopharmaceutical enterprise Ambrose Healthcare has completed the 100% equity purchase of Dutch biotechnology firm AM-Pharma in a transaction valued at up to €161 million. The deal structure involves an initial upfront payment alongside conditional milestone payments tied to the commercialization of AM-Pharma's lead asset, as well as royalties on future commercial sales. The acquisition incorporates ilofotase alfa, a Phase 2-ready recombinant human alkaline phosphatase enzyme replacement therapy targeting hypophosphatasia, into Ambrose's rare disease product pipeline. Additionally, the transaction establishes Ambrose's physical presence in Utrecht, Netherlands, granting the firm direct scientific, regulatory, and quality infrastructure within the European Union.

This strategic transaction provides a critical clinical expansion for Ambrose Healthcare while solving a vital structural gap in adult hypophosphatasia care. Hypophosphatasia is a rare metabolic disorder caused by deficient alkaline phosphatase activity, resulting in recurrent bone fractures, muscular weakness, severe pain, and tooth loss. While pediatric treatments exist, nearly half of diagnosed patients present with adult-onset disease, for which no regulatory-approved therapeutic options currently exist. By absorbing a molecule with Orphan Drug Designations from both European and American regulatory bodies and an extensive safety record across nearly 700 subjects, Ambrose accelerates its timeline toward market entry in an underserved segment of the orphan drug industry.

The deal reflects broader consolidation patterns across the global biotechnology and rare disease pharmaceutical sectors. Small to mid-sized clinical developers increasingly seek integration with specialized rare disease platforms to navigate complex international approval processes and expensive late-stage trials. The integration of AM-Pharma's operational framework in the Netherlands allows Ambrose Healthcare to bypass lengthy setup times for European regulatory operations, positioning the combined entity to manage regulatory filings across both British and European jurisdiction networks more efficiently.

For healthcare investors and industry decision-makers, the acquisition underscores the financial viability of opportunistic, risk-mitigated portfolio growth in the orphan drug market. Integrating clinical-stage candidates that possess established safety profiles reduces early-stage research exposure while retaining high-value commercial upside. By diversifying its clinical asset portfolio to three active programs, Ambrose Healthcare strengthens its corporate valuation and creates a scalable operational foundation for future European market penetration.

Ambrose Healthcare is a UK-headquartered biopharmaceutical company focused on acquiring and advancing clinical-stage therapeutics for rare disease indications. AM-Pharma is a Netherlands-based biotechnology company specializing in the clinical development of recombinant proteins and therapeutics for severe rare conditions.
