The deal terms, which have received unanimous approval from the boards of directors of both companies, also include an additional contingent consideration of up to USD 200 million tied to specified milestones. The acquisition is scheduled to complete before the end of calendar year 2026, subject to customary closing conditions and regulatory approvals under the Hart-Scott-Rodino Antitrust Improvements Act.
