Specialty chemical producer Anupam Rasayan India has finalized the acquisition of a 48.2% controlling stake in Bliss GVS Pharma. The transaction enables backward-and-forward integration across pharmaceutical key starting materials, active ingredients, and finished formulations.

INDIA —Specialty chemical manufacturer Anupam Rasayan India has completed the acquisition of a 48.2% controlling stake in Bliss GVS Pharma for ₹299 per share. Executed via its wholly owned subsidiary Mates Visa Consultancy, the transaction follows a definitive agreement reached in May 2026 and the subsequent conclusion of a mandatory open offer. The transaction was financed through a ₹300 crore term loan alongside ₹1,450 crore in non-controlling, non-voting instruments raised from institutional investors led by Bain Capital, Trust Group, and Investec.

Anupam Rasayan India is a custom synthesis and specialty chemical producer focused on agrochemicals, personal care, and pharmaceutical intermediates. Bliss GVS Pharma is a Mumbai-headquartered pharmaceutical company specializing in finished dosage formulations, suppositories, and soft gelatin capsules, operating six manufacturing units across Maharashtra with US FDA, EU-GMP, and WHO-GMP certifications.

The strategic transaction bridges key starting materials, chemical intermediates, and active pharmaceutical ingredients with finished formulation capabilities. Combining Anupam Rasayan alongside its subsidiaries Tanfac Industries, Jayhawk Fine Chemicals, and Bliss GVS Pharma creates an integrated entity with pro-forma revenues exceeding ₹4,000 crore and EBITDA of approximately ₹834 crore. Individual revenue contributions stand at ₹1,676 crore for Anupam Rasayan, ₹711 crore for Tanfac, ₹722 crore for Jayhawk, and ₹927 crore for Bliss GVS.

This consolidation broadens exposure to therapeutic segments such as anti-malarial, anti-fungal, anti-inflammatory, and cardiovascular treatments. Acquiring Bliss GVS provides immediate access to over 150 established product brands, international distribution networks, and six manufacturing facilities currently running at roughly 30% capacity utilization, offering significant headroom to scale output without major capital expenditure.

For the pharmaceutical and chemical sectors, the deal highlights a growing trend of vertical integration among Indian active ingredient and specialty chemical manufacturers seeking downstream formulation assets. The deal provides Anupam Rasayan with dedicated raw material security through Tanfac, North American manufacturing capabilities via Jayhawk, and end-market formulation reach through Bliss GVS.
