Apogee Enterprises, Inc. has entered into a definitive agreement to purchase translucent daylighting manufacturer Kalwall Companies from the Keller family for up to $115 million. The transaction will integrate Kalwall into Apogee's Architectural Glass segment.

A definitive agreement has been finalized for Apogee Enterprises, Inc. to acquire Kalwall Companies in a transaction valued at up to $115 million on a cash-free, debt-free basis. According to official regulatory disclosures, the deal structure includes $105 million in cash at closing, supplemented by an additional performance-based earnout of up to $10 million extending through the third quarter of fiscal 2027. Financed via cash on hand and existing credit facilities, the acquisition is projected to close in Apogee's fiscal 2027 second quarter. Apogee Enterprises is a publicly traded provider of architectural building products and high-performance coated materials, while Kalwall is a vertically integrated manufacturer specializing in proprietary translucent daylighting solutions and structural building enclosures.

The transaction merges Kalwall's specialized polymer and coating applications directly into Apogee's core Architectural Glass business line. This consolidation impacts the commercial construction, architectural engineering, and sustainable building materials industries across North America. By combining structural glazing with daylighting technologies, the entity addresses the growing institutional demand for energy-efficient building envelopes. Operating plans project $4 million in annualized cost synergies by fiscal 2029, alongside an anticipated $85 million in first-year revenue contribution.
