The transaction structure comprises a combination of upfront capital and up to €10 million ($11.6 million) in performance-contingent earnouts over a three-year period. Scheduled to complete in the third quarter of fiscal 2027, the acquisition will be funded using cash reserves and existing line of credit options.
Headquartered in Riga, GroGlass develops anti-reflective, high-clarity glass, acrylic, and polycarbonate treatments tailored for electronic displays, cultural institutions, and structural applications. Headquartered in Minneapolis, Minnesota, Apogee Enterprises designs and fabricates architectural glass, framing systems, and specialized surface treatments for commercial construction and specialized framing applications.
The integration directly enhances Apogee's Performance Surfaces division, incorporating sophisticated European manufacturing facilities and establishing a dedicated research base in materials science. GroGlass is targeted to generate over $30 million in sales during its initial 12 months under new ownership, delivering an adjusted operating margin of roughly 25%. Management expects to capture $4 million in annualized cost efficiency gains and operational synergies within three years of closing.
By securing established distribution channels and production assets in Eastern Europe, the acquisition positioning allows Apogee to scale its international footprint outside North America. The move diversification mitigates localized construction cyclicality, opening new revenue streams across technical electronics, commercial architecture, and premium framing markets.
