A definitive combination agreement has been reached to merge the specialized maternal, newborn, and reproductive health verticals of Apollo Health and Lifestyle Limited with those of Kids Clinic India Limited, the operator of the Cloudnine brand. Official disclosures show that the transaction values Apollo's carve-out units at INR 15,500 million, compensated through a mix of cash and a 9.9% equity piece in the consolidated enterprise.

Following regulatory approvals, including clearance from the Competition Commission of India, Apollo will secure board representation and become the leading non-financial shareholder, while Cloudnine's original founders retain a minority interest.
