DENMARK; NIGERIA —A.P. Moller Capital has reached an agreement to divest its stake in Powergas Global Investments Nigeria Limited and Powergas Ebedei Limited to a consortium comprising Ardova Plc and Diadem Energy. The transaction marks the exit of the Danish institutional investor from its first Africa Infrastructure Fund investment, which was initiated in April 2019 through Impala Energy Holdings. Powergas operates as one of Africa's largest producers and distributors of compressed natural gas, utilizing a virtual pipeline model to deliver energy to industrial and commercial customers beyond the reach of conventional gas pipeline networks.
The acquisition brings together complementary assets within Nigeria's downstream energy sector. Powergas contributes established gas sourcing relationships, four mother stations, a fleet of over 250 tube skids, and an existing industrial customer base across southern Nigeria. Ardova Plc, a leading integrated energy company with operations spanning petroleum products, liquefied petroleum gas, aviation fuel, and logistics, provides a nationwide distribution footprint and retail network. Diadem Energy, an existing logistics partner to Powergas, adds regional expertise and operational synergy to the consortium. This combination creates a platform capable of scaling compressed natural gas access for transportation, industrial, and power generation applications.
This development matters significantly for Nigeria's energy transition and infrastructure development. The country has substantial natural gas reserves but faces challenges in monetizing associated gas that is currently flared during oil production. Powergas' Ebedei flare gas monetization project demonstrates a viable model for capturing this wasted resource and converting it into productive energy. By replacing diesel-fired generators with compressed natural gas, the business reduces emissions at both production and consumption points while providing customers with a more reliable and potentially cost-effective energy source. The transaction aligns with the Nigerian government's Decade of Gas programme and the Presidential Initiative on Compressed Natural Gas and Electric Vehicles.
For the broader industry, this deal signals increasing consolidation in Africa's midstream and downstream gas sector as companies seek to build integrated platforms capable of serving multiple market segments. Ardova has announced plans to deploy compressed natural gas infrastructure across its retail network, targeting one hundred refueling sites nationwide within twenty-four months. This expansion aims to serve commercial fleets and individual motorists, addressing both economic and environmental objectives by lowering transportation costs and reducing emissions. The enlarged platform positions Ardova to become a primary domestic gas infrastructure partner for upstream producers seeking firm offtake agreements for associated and non-associated gas.
Strategic implications extend beyond Nigeria's borders. Ardova has indicated intentions to expand the platform into wider West African markets over time, suggesting potential regional replication of the virtual pipeline model. For investors and industry stakeholders, the transaction demonstrates how private equity capital can de-risk early-stage infrastructure projects through development and operational scale-up before transferring ownership to strategic buyers with greater distribution capabilities. A.P. Moller Capital's seven-year holding period allowed Powergas to progress from concept to full production, commencing operations in 2020 and commissioning its Ebedei compression plant in 2021. The business has created one hundred seventy-five direct jobs and numerous indirect employment opportunities across its supply chain.
