CANADA Canadian precious metals producer Artemis Gold has agreed to acquire all outstanding shares of Vista Gold in an all-equity arrangement valued at approximately US$427 million. Under the agreement, Vista Gold equity holders will receive 0.0966 Artemis Gold shares for each share held, implying a value of US$2.83 per share and representing a 29% premium over recent volume-weighted average trading prices. The transaction will result in existing Artemis Gold shareholders owning 95% of the combined entity, while Vista Gold investors will hold the remaining 5%. Completion is anticipated in early 2027, subject to approval from shareholders, regulatory authorities, and Australian foreign investment review boards.

Vancouver-headquartered Artemis Gold is a precious metals mining company focused on developing and operating gold assets in stable mining jurisdictions, primarily anchored by its flagship Blackwater mine in British Columbia. Vista Gold is an American- and Canadian-listed mineral developer focused on advancing the Mt Todd project in Australia’s Northern Territory.

This consolidation marks a major strategic expansion into Australia, transferring control of Mt Todd, an advanced asset hosting 9.1 million ounces of measured and indicated gold resources, to a well-capitalized producer.
