ATIF Holdings has finalized its $20 million transaction to acquire GoldCoin Labs, gaining control over gold-backed digital asset infrastructure. The move advances the Nasdaq-listed firm's strategic pivot into blockchain ecosystem development and tokenized commodities.

UNITED STATES OF AMERICA Nasdaq-listed consulting entity ATIF Holdings has expanded its digital asset portfolio by completing the transaction to acquire total ownership of BVI-based developer GoldCoin Labs for consideration valued at approximately $20 million. Payment was settled through the issuance of over 2.8 million ordinary shares under a five-day volume-weighted average valuation framework, raising the company's total outstanding common shares to 22,128,378. Under the terms of the deal, the selling shareholder has committed to a 180-day lock-up period for the newly issued equity.

Founded in 2019, ATIF Holdings traditionally provides advisory, pre-IPO training, corporate restructuring, and financial consulting services to small and medium enterprises across Asian and North American markets. Since mid-2025, the organization has actively diversified its operating scope toward digital asset ventures, including cryptocurrency mining operations and strategic token allocations.

The acquisition establishes an operational foundation for Metra Gold, a tokenized gold protocol designed to issue digital tokens backed on a one-to-one basis by physical fine gold compliant with London Bullion Market Association Good Delivery standards. Through GoldCoin Labs, the firm plans to build out minting, redemption, reserve verification, and custody frameworks, anchoring its position in real-world asset tokenization.

Integrating precious metals with distributed ledger networks reflects a growing institutional movement to digitize traditional commodities, enhancing liquidity, settlement velocity, and fractional ownership accessibility for global market participants. By merging physical asset security with decentralized issuance infrastructure, financial services and technology companies are creating alternative capital vehicles that bridges traditional finance and web-based asset management strategies.
