Avio Smart Market Stack has entered into a share subscription and shareholders’ agreement to acquire a minority stake in Huwel Lifesciences, aligning with its strategy to expand in healthcare diagnostics. The partnership centers on commercializing a lower-cost tuberculosis testing platform validated by a government-led assessment.

Avio Smart Market Stack (ASMS), formerly known as Bartronics India, has formalized a Share Subscription cum Shareholders’ Agreement with Hyderabad-based Huwel Lifesciences, following a memorandum of understanding signed in September 2025. Under the agreement, ASMS will acquire a minority equity position in Huwel and collaborate on institutional business development and execution of diagnostic projects.

The arrangement entitles ASMS to a defined portion of net revenues generated from projects secured through its engagement efforts. Huwel Lifesciences operates in the molecular diagnostics segment, focusing on infectious disease detection technologies. ASMS provides integrated technology and market-access solutions across sectors.

The strategic focus of the partnership is Huwel’s Quantiplus MTB FAST platform for tuberculosis testing. According to findings from a Health Technology Assessment conducted by the Department of Health Research under the Ministry of Health & Family Welfare, the platform delivers per-sample testing costs of approximately INR 340, compared with INR 700-1,000 typically incurred under existing government molecular testing systems.

The cost differential, combined with compatibility with open RT-PCR systems, allows potential deployment using machines installed nationwide during the COVID-19 response, reducing incremental capital requirements. For public health agencies, this could support broader TB screening coverage within constrained budgets. For investors and diagnostics manufacturers, the model signals growing demand for interoperable, cost-efficient platforms aligned with government infrastructure and procurement frameworks.
