AXISCADES Technologies announced that its US subsidiary, XIDA, has received board approval to acquire substantially all assets of San Jose-based precision engineering firm ITSJ Group in a deal valued up to US$ 7 million, establishing a direct operational foothold in the global AI hardware and semiconductor supply chain.

INDIA —AXISCADES Technologies Limited has announced that its board of directors has approved the acquisition of substantially all business assets of San Jose-based ITSJ Group through its US-focused subsidiary, XIDA Inc. The transaction introduces a structured financial model featuring up to US$ 2.5 million in cash at completion, alongside XIDA shares vesting across a 30-month timeline and an earn-out provision of up to US$ 2 million tied to specific financial and operational milestones. Operating as an asset purchase structure, the agreement ensures that historical liabilities remain with the seller, mitigating legacy risk for the acquiring entity.

The strategic transaction embeds XIDA directly into critical nodes of the artificial intelligence hardware build-out. Founded in 2023, ITSJ has established qualified vendor positions with two prominent semiconductor capital equipment manufacturers and a major hyperscale data-centre operator, possessing live purchase orders at the time of the transaction. The target company delivers specialized manufacturing, precision machining, printed circuit board design, cable assembly, and full system integration services from prototype stages to volume production within Silicon Valley.

This development carries significant implications for the global electronics manufacturing, semiconductor equipment, and data-centre infrastructure sectors. By establishing a physical footprint in California, the group secures immediate access to Tier-1 technology clients without undergoing the protracted vendor qualification cycles typically required in these industries. Furthermore, the integration creates a hybrid delivery model that pairs US-based proximity engineering with India-based design capabilities, enhancing supply chain resilience against evolving global trade regulations and tariffs.

For investors and corporate decision-makers, the acquisition signals a calculated expansion into the physical infrastructure layer supporting advanced artificial intelligence technologies. AXISCADES Technologies Limited is an Indian technology solutions provider serving global clients across aerospace, defence, electronic systems, and semiconductor domains. The transaction positions XIDA to capture heightened demand for semiconductor tool sub-systems and thermal management frameworks required for high-density computing environments.
