UNITED STATES OF AMERICA —Private merchant bank BDT & MSD Partners has entered into a definitive agreement to acquire a controlling stake in Sunrise Senior Living from Canadian pension fund manager Public Sector Pension Investment Board. The deal, undertaken alongside the target company's senior executive team, will see existing management retain operational control while committing significant personal equity. The transaction is slated for completion in 2027, subject to standard regulatory approvals.
Sunrise Senior Living operates over 230 senior housing facilities serving more than 22,000 residents across the United States and Canada. The company manages an active third-party management arm, joint venture investment platforms, and a development pipeline exceeding 50 planned communities valued at approximately $7.5 billion. BDT & MSD Partners is a merchant bank catering to business owners and strategic investors, managing roughly $20 billion in real estate assets across private capital, equity, and credit strategies. The seller, Public Sector Pension Investment Board, is one of Canada's largest pension investment managers, overseeing $320.6 billion in net assets under management.
The ownership transition comes at a pivotal moment for North American healthcare and real estate markets, driven by accelerating demographic shifts as the aging population expands. PSP Investments initially acquired a stake in Sunrise in 2014 before taking full ownership in 2023, utilizing the holding period to execute strategic asset optimizations prior to capital recycling. Financial advisory for the transaction was provided by J.P. Morgan Securities LLC and Jones Lang LaSalle Securities, LLC.
This strategic acquisition highlights growing institutional investor confidence in premium private-pay senior care infrastructure. Combining specialized operator expertise with deep capital reserves positions the enterprise to capitalize on heightened demand for integrated assisted living, memory care, and wellness services across prime North American regional markets.
