The transaction will be executed through a statutory plan of arrangement, offering Sangoma shareholders a combination of US$4.925 in cash and a fractional equity stake in the acquiring company for each share held. The aggregate consideration includes roughly US$170 million in cash and US$10 million in newly issued equity. The acquisition is partially financed through an amended and restated US$215 million senior secured term loan facility, which will also refinance existing debt within the acquirer's communications division.

This development is strategically significant as it materially scales the acquirer's communications ecosystem. Sangoma brings a substantial, established customer base of over one hundred thousand clients and 2.7 million unified communications seats. By integrating these assets, the combined entity is projected to generate approximately US$441 million in trailing twelve-month revenue.
