UNITED ARAB EMIRATES; UNITED KINGDOM —Cambridge Health Group (CHG) has completed the full acquisition of Cornerstone Healthcare Holdings Limited to expand its operational footprint and specialist care capabilities. The transaction integrates four specialist care facilities located across the South of England into the acquiring firm's portfolio. The acquired entity specializes in high-acuity care requirements, including complex dementia, neuro-progressive disorders, severe mental illnesses, and acquired brain injuries. The financial arrangement involves an initial enterprise value of £71 million alongside up to £5 million in performance-linked deferred consideration, bringing the potential total valuation to £76 million. Funding for the transaction was drawn entirely from internal resources.
This strategic purchase directly advances a broader capital deployment initiative announced previously by parent organization Amanat Holdings PJSC, which aims to allocate approximately AED 1.5 billion toward regional and international healthcare and education operations. With this transaction finalized alongside other ongoing regional expansion projects, total capital deployment has reached approximately AED 900 million, achieving 60% of the stated target. The expansion grows total licensed bed capacity past 1,000 beds, prompting management to establish a medium-term operational benchmark targeting more than 1,500 beds through organic development and selective market consolidation.
The integration of the UK-based care provider establishes a direct operating presence in Europe while complementing existing post-acute care and rehabilitation facilities located throughout the United Arab Emirates and Saudi Arabia. The transaction bridges disparate regional footprints to unify clinical expertise, statutory commissioning networks, and structured funding frameworks. By combining established clinical frameworks with systematic capacity expansion, the merged enterprise addresses structural deficits in specialized care provision across multiple jurisdictions.
The transaction highlights ongoing consolidation trends within the specialized care sector, where institutional investors target high-acuity assets to capture stable, predictable cash flows supported by statutory commissioning bodies and government-backed health services. For institutional investors and corporate operators, deploying capital into specialized residential care mitigates exposure to broader retail or commercial property cycles while aligning with demographic pressures driven by aging populations and rising demand for complex medical rehabilitation. The post-acquisition structure relies on retaining existing executive leadership to preserve operational continuity while scaling multi-site clinical delivery models.
