Critical Metals Corporation has determined a maximum share exchange ratio of 0.045 new shares for each European Lithium share in its proposed all-stock acquisition. The transaction, structured as a court-approved scheme of arrangement, aims to consolidate critical mineral assets and strengthen the combined entity's position in the European battery supply chain.

AUSTRALIA; UNITED STATES OF AMERICA —Critical Metals Corporation has finalized the share exchange ratio for its proposed all-stock acquisition of European Lithium. Under the court-approved scheme of arrangement, shareholders will receive 0.045 new Critical Metals Corporation shares for each existing share held. This maximum ratio was triggered because the trailing twenty-day volume-weighted average price of the acquirer’s stock fell at or below the agreed floor of eight US dollars.

This development represents a significant consolidation within the European critical minerals sector. By absorbing European Lithium, the acquirer aims to secure a more robust footprint in the regional battery supply chain. The transaction directly impacts shareholders of both entities, mineral off-takers, and policymakers focused on reducing reliance on non-Western sources of lithium and rare earth elements.

The global push for energy transition and supply chain sovereignty has elevated the strategic value of domestic mineral production. Regulatory frameworks in Europe increasingly favor localized mining and processing capabilities. This acquisition aligns with broader industrial policies designed to safeguard the electric vehicle manufacturing ecosystem against geopolitical disruptions and volatile global commodity markets.

For Critical Metals Corporation, a mining development company focused on electrification materials, the transaction complements its existing portfolio, which includes the Tanbreez rare earth project in Greenland and the fully permitted Wolfsberg lithium project in Austria. Integrating European Lithium assets is expected to enhance operational scale and provide a more diversified, sustainable supply of critical minerals for defense and clean energy applications, though the final valuation remains sensitive to fluctuations in the acquirer's stock price and foreign exchange rates.
