The transaction includes an initial upfront payment of USD 4 million, funded entirely through existing cash reserves, along with up to USD 2 million in milestone-contingent payments tied to content and platform releases. An additional performance-based earn-out mechanism of 10% to 20% of net post-cost revenues is also structured into the deal based on financial targets. Fair Games will retain its existing operations in Denmark under its founder and managing director, with financial consolidation taking effect as of October 2026.
This strategic transaction provides Fireshine Games with full ownership of Necesse, a high-margin survival-crafting PC title that has generated roughly USD 14.4 million in gross lifetime revenue across 2.5 million units sold since its initial release. Incorporating an established debt-free development studio with a proven intellectual property directly bolsters EG7's long-term recurring digital revenue. Stockholm-headquartered EG7 operates globally as a gaming group focused on PC, console, and mobile game development, publishing, and marketing through major subsidiaries including Daybreak Games, Piranha Games, and Big Blue Bubble.
The acquisition highlights a continuing trend of consolidation within the video game publishing and interactive entertainment sector, where established publishers secure successful indie intellectual properties to mitigate new project risk and secure predictable cash flows.
