Under the primary transaction, Electrum Gold Exploration LLC will acquire 16.54 million units at $1.30 per unit, delivering approximately $21.5 million in gross proceeds. Concurrently, Canaccord Genuity Corp. is leading a brokered private placement for up to 6.54 million units at the same price point to raise an additional $8.5 million, with an agent option to place up to $1.28 million in supplementary units prior to closing.

Each unit comprises one common share and a two-year warrant exercisable at $1.50 per share, subject to customary anti-dilution adjustments and modifications linked to any prospective corporate spin-out. Capital raised from both offerings is slated primarily for exploration activities at the Cortez Summit property in Nevada's Cortez Gold District, alongside general corporate overhead.

The injection of capital significantly reshapes Carlin Gold's equity ownership structure. Upon regulatory and shareholder approval at the upcoming annual general meeting scheduled for October 2026, Electrum will emerge as a recognized control person, holding approximately 34.49% of outstanding common shares on a non-diluted basis and 40.03% on a fully diluted basis. The purchase agreement further grants Electrum board representation rights and participation privileges in future equity issuances to preserve its proportional stake, provided it maintains a minimum 10% equity threshold.
