INDIA; ITALY —Indian automotive component manufacturer Endurance Technologies has strengthened its manufacturing presence in Europe following the complete acquisition of two Italian firms by its wholly owned subsidiary, Endurance Overseas. Executed through a share purchase agreement, the transaction secures 100% control of Anna Milena and its operating subsidiary Fondalpress for a total consideration of EUR 12.34 million. Given the target entities held approximately EUR 10.10 million in cash and cash equivalents, the effective net consideration for the transaction stands at EUR 2.24 million. The ownership transfer was completed immediately upon signing, with no regulatory or antitrust clearances required.
This strategic move grants the parent company direct access to strategically located industrial land, advanced facility infrastructure, and specialized machinery in Italy. By integrating Fondalpress's existing operational footprint, the group acquires immediate capacity to scale production, address rising European market demand, and bring previously outsourced component manufacturing in-house. Fondalpress recorded a turnover of EUR 32.20 million in 2024, alongside Anna Milena's revenue of EUR 0.40 million. The combined operations provide an established foundation in precision engineering and real estate management supporting automotive production.
The transaction highlights ongoing consolidation within the global automotive supply chain as component suppliers move to secure localized manufacturing assets and mitigate supply disruptions. Expanding specialized aluminum die-casting and machining capabilities directly in continental Europe allows international suppliers to better serve regional original equipment manufacturers. Additionally, the move signals a growing emphasis among component manufacturers on optimizing production efficiencies by insourcing key manufacturing processes and securing physical infrastructure in prime industrial hubs.
