Expand Energy Corporation has agreed to acquire natural gas marketing firm Twin Eagle Holdings for $1.25 billion from Five Point Infrastructure. The transaction, slated for completion in the third quarter of 2026, integrates North America's largest gas producer with a major physical trading and midstream optimization platform.
Expand Energy Corporation has entered into a definitive merger agreement to acquire Twin Eagle Holdings, N.A., LLC from energy infrastructure investor Five Point Infrastructure for $1.25 billion. According to official corporate disclosures, the transaction is expected to close in the third quarter of 2026, subject to customary purchase price adjustments, working capital evaluations, and required regulatory clearances. Expand Energy plans to fund the acquisition using cash on hand and existing credit facility capacity. Expand Energy Corporation is the largest natural gas producer in North America, operating extensive upstream assets across key shale basins. Twin Eagle Holdings, N.A., LLC is a private asset-backed natural gas marketing and logistics provider that manages physical trading, wholesale supply, storage, and transportation assets across major North American energy markets.
The acquisition strategically unites upstream gas production with downstream commercial marketing and pipeline logistics across the United States and Canada. Prior to the transaction, Twin Eagle marketed over 5 billion cubic feet per day (Bcf/d) of natural gas, supported by approximately 44 Bcf of gas storage capacity and 2 Bcf/d of firm pipeline transportation servicing more than 1,000 commercial and industrial customers. On a pro forma basis, the combined enterprise will market approximately 14 Bcf/d of natural gas, supported by 9 Bcf/d of firm transportation capacity and 49 Bcf of operational storage. Expand Energy projects that integrating Twin Eagle’s commercial platform will increase its target marketing free cash flow by 50 percent, raising its annual marketing cash flow expectation to $750 million while expanding physical access to approximately 90 percent of North American natural gas demand centers.
From an industry perspective, the transaction highlights an accelerating trend toward vertical integration among North American natural gas operators. As domestic natural gas demand expands-driven by new liquefied natural gas export terminals, coal-to-gas power plant conversions, and rising electricity consumption from data centers-upstream producers are moving beyond simple wellhead sales. Acquiring dedicated physical marketing, storage, and logistics infrastructure enables producers to capture commercial margins across the entire supply chain, manage regional price basis differentials, and secure firm delivery commitments to high-value utility and industrial end-users.
For commercial energy consumers, power generators, and global LNG buyers, dealing directly with a fully integrated producer-marketer reduces counterparty risk and improves long-term supply security. For energy market investors, the addition of stable, asset-backed marketing and optimization revenues reduces cash flow volatility associated with underlying commodity price swings. Furthermore, the combined scale strengthens the company's capability to negotiate extended contract terms and optimize capacity allocations across key pipeline corridors in North America.
