SINGAPORE —Singapore-listed real estate group Far East Orchard Limited has entered into a conditional share purchase agreement to acquire an additional 42% stake in the management entities of Far East Hospitality Trust for S$28.3 million in cash. Under the transaction with seller FEO Asset Management Pte. Ltd., Far East Orchard will increase its ownership interest in FEO Hospitality Asset Management Pte. Ltd. and FEO Hospitality Trust Management Pte. Ltd. from 33% to 75%. The transaction is expected to close by the end of 2026, subject to customary adjustments, counterpart approvals, and a dividend in specie distribution of stapled securities that will give Far East Orchard an approximate 3% direct holding in Far East Hospitality Trust.
Founded in 1967, Far East Orchard Limited is a real estate enterprise specializing in hospitality operations and student accommodation asset management across 11 countries, overseeing more than 18,000 hotel rooms and 60,000 student beds. Far East Hospitality Trust is a Singapore-focused lodging stapled group managing 13 properties comprising 3,334 units valued at S$2.56 billion. The acquisition positions Far East Orchard as the primary sponsor of Far East Hospitality Trust, raising its core assets under management by approximately 86% to S$3.9 billion and accelerating its long-term strategic target to reach at least S$5.0 billion in assets under management by 2030.
This transaction strengthens the group's fee-based recurring income streams and establishes an integrated lodging ecosystem by bridging its private fund management arm with a publicly listed vehicle. The enhanced structure facilitates systematic capital recycling, expands asset management capacity, and delivers an estimated 3.7% pro forma earnings per share accretion based on financial year 2025 performance. SAC Capital Private Limited served as the independent financial adviser for the transaction to ensure market-standard commercial terms for minority shareholders.
