SWEDEN —A strategic real estate and asset transaction is reshaping the biopharmaceutical footprint in Northern Europe as Immunrise Biocontrol France SAS moves to secure a major industrial facility in Hammenhög, Sweden. Under a newly executed Memorandum of Understanding, the French biotechnology group has agreed to a structured takeover of the production site from Sweden-based Simris Group AB for a total purchase price of EUR 1 million.
The agreement establishes an immediate interim leasing arrangement, transferring full operational responsibility and routine maintenance costs for the site, buildings, and associated equipment to Immunrise. Half of the rental fees paid during this interim lease phase will be credited toward the final purchase price upon closing. Immunrise has been granted exclusive rights to complete the purchase through late September 2027, with the final closing targeted within three months following the successful conclusion of its current capital raising initiative, contingent on standard due diligence and regulatory clearances.
This asset transfer represents a critical step in Simris Group's corporate repositioning away from legacy microalgae manufacturing and toward specialized oncology therapeutics. Founded as a natural bio-products company, Simris Group AB is a Swedish biopharmaceutical entity focused on developing antibody-drug conjugates (ADCs) using novel payloads derived from natural sources to target various forms of cancer. Conversely, Immunrise Biocontrol France SAS is a French biotechnology company established in 2015 that leverages microalgae-derived molecules to create sustainable products across agriculture, agribusiness, and healthcare sectors.
For the broader life sciences sector, the agreement illustrates how biopharmaceutical companies are rationalizing asset portfolios to focus capital on high-margin drug discovery while enabling specialized agricultural and biotech firms to acquire existing infrastructure. By offloading maintenance costs and securing prospective capital, Simris stabilizes its balance sheet to accelerate its biopharmaceutical pipeline, while Immunrise gains dedicated production capacity to scale its proprietary microalgae applications across European markets.
