GE Vernova has agreed to acquire Trench Group for 9 billion USD to vertically integrate high-voltage grid equipment manufacturing. The transaction, expected to close in late 2027, aims to scale production capacity and meet surging global demand for grid modernization, renewable energy integration, and electrification technologies.

GERMANY; UNITED STATES OF AMERICA —GE Vernova has entered into a definitive agreement to acquire Trench Group for a purchase price equivalent to 9 billion USD. The transaction, funded through an equal mix of cash and debt, is anticipated to finalize in late 2027 pending standard regulatory clearances and employee consultations. This strategic move vertically integrates a key supplier into the electrification division, specifically bolstering grid systems integration and power transmission units.

The acquisition is driven by the accelerating global requirement for grid modernization and expanded electrical capacity. As aging infrastructure converges with the rapid proliferation of data centers, renewable energy sources, and industrial electrification, high-voltage transmission networks have become critical. Integrating these manufacturing capabilities directly addresses supply chain bottlenecks, enabling more resilient and scalable power distribution frameworks to handle increasing load demands across interconnected regions.

From an industry perspective, this consolidation significantly impacts global utilities, hyperscale technology operators, and renewable energy developers. The target company currently supplies high- and medium-voltage bushings, instrument transformers, and coils to over 800 entities worldwide. Furthermore, its portfolio includes environmentally compliant, sulfur hexafluoride-free and mineral oil-free technologies, aligning with tightening international environmental regulations and the broader corporate shift toward sustainable infrastructure deployment.

Strategically, the transaction provides immediate earnings visibility and long-term market positioning for the acquiring entity. The target is projected to generate 1.9 billion USD in revenue with an adjusted EBITDA margin of approximately 36 percent by 2028. The deal also brings a substantial existing backlog and framework agreements valued at roughly 5 billion USD. Operationally, it expands the North American manufacturing footprint, highlighted by a newly established facility in Charlotte, North Carolina, which is scheduled to commence production of 765-kilovolt equipment by late 2027.

GE Vernova is a global energy technology corporation headquartered in Cambridge, Massachusetts, specializing in power generation, electrification, and wind energy solutions. Trench Group is a Berlin-based manufacturer of high-voltage grid components, operating 11 production sites across Europe, North America, and Asia with a workforce exceeding 3000 employees.
