GP Petroleums has approved an investment of ₹442.7 million in Incubit Pipavav Terminal Private Limited, combining a minority shareholding with management control. The proposed transaction gives the lubricant manufacturer an entry into liquid-storage and port terminal operations at Pipavav, Gujarat, as it seeks to diversify revenue and explore opportunities in logistics infrastructure.

INDIA —GP Petroleums Limited has approved a proposed investment of ₹442.7 million in Incubit Pipavav Terminal Private Limited, securing a minority equity interest alongside management control. The shares will be purchased from existing shareholders, potentially through multiple tranches over a period of one year. The transaction will be funded from GP Petroleums’ internal reserves, with the final consideration subject to changes in the valuation of the terminal operator’s shares.

The investment marks a strategic extension beyond GP Petroleums’ established lubricants business into port-linked liquid storage and terminal logistics. Incubit Pipavav Terminal operates at Pipavav Port in Gujarat, providing infrastructure for storage and handling activities. Management control is expected to give GP Petroleums an operational platform from which to assess the terminal’s development potential and its links with inland markets.

The proposed entry comes as industrial supply chains depend on reliable port infrastructure and storage capacity for the movement of liquid products. Integrating terminal operations with an existing lubricants business could provide opportunities to coordinate storage, handling and distribution, although the scale of potential operating synergies has not been disclosed. The investment may also give GP Petroleums exposure to infrastructure-related income alongside its core product activities.

GP Petroleums intends to examine expansion possibilities at Pipavav, improve connectivity with hinterland demand centres and consider further investments in logistics infrastructure. These plans could broaden its participation in India’s port and supply-chain ecosystem, while creating additional capital-allocation requirements beyond its core business. The commercial outcome will depend on terminal utilisation, demand from storage customers and the economics of any future capacity expansion.

GP Petroleums is an India-based company primarily engaged in lubricants and related products. Incubit Pipavav Terminal Private Limited is the terminal operator involved in the proposed transaction. Completion remains subject to the fulfilment or waiver of applicable conditions precedent and relevant statutory and regulatory requirements; the announcement therefore represents an approved proposal rather than a completed acquisition.
