SINGAPORE Grab Holdings Limited has entered into definitive agreements to secure a controlling 60% equity stake in digital financial services platform Atome Financial for a cash consideration of $1.49 billion. The initial phase involves $0.26 billion in primary growth capital, with the overall transaction slated for completion by the third quarter of 2027, subject to regulatory conditions. Under the terms, Grab will financially consolidate Atome Financial and preserve its existing management structure to oversee regional scaling. Furthermore, an agreement is in place to acquire the remaining 40% equity interest approximately two years post-completion using a performance-linked valuation framework with a defined floor and cap.

This strategic integration combines Atome Financial's digital lending, cash loan, and installment payment operations with Grab's broader ecosystem, which encompasses mobility, deliveries, and existing financial services. By uniting Atome Financial's artificial intelligence-powered credit risk underwriting capabilities with Grab's ecosystem data insights, the consolidated entity seeks to optimize lending operations while managing credit risks for unbanked and underbanked populations across Southeast Asia. Additionally, the merger provides Atome Financial with expanded merchant distribution channels and broadens financial access across multiple regional economies.

The transaction significantly accelerates growth targets within the financial services sector, altering medium-term financial projections. Leadership anticipates that the combined operations will achieve a gross loan portfolio exceeding $6 billion and a segment adjusted EBITDA of $500 million by 2028. Consequently, corporate forecasts have been upgraded, projecting group revenue compounding annual growth rates exceeding 30% from 2025 through 2028, alongside an overall adjusted EBITDA target of $1.7 billion. The acquisition is funded entirely through existing cash reserves and is designed to maintain ongoing capital return programs while expanding regional market penetration.
