INDIA; JAPAN —Gujarat Themis Biosyn (GTBL) has completed the acquisition of Japan-based MicroBiopharm Japan (MBJ) from private equity firm T Capital Partners for JPY 21.5 billion. GTBL executed the transaction through its Japanese subsidiary, Themis Biosyn Japan, deploying a combination of INR 4.75 billion in equity and an INR 7.45 billion loan facility to fund the total purchase price.
This transaction marks a major cross-border expansion for the Indian pharmaceutical manufacturer, instantly establishing a global manufacturing and contract development presence. Beyond expanding its geographic footprint, the purchase integrates MBJ's specialized enzyme technology and precision fermentation capabilities into GTBL's existing production network. The addition of three regulation-compliant sites in Japan opens immediate access to advanced biotechnology therapeutic segments like oncology and antibody-drug conjugates.
The pharmaceutical CDMO sector continues to shift toward specialized bio-fermentation and high-value biologic modalities. Through this acquisition, GTBL secures immediate commercial relationships with established major pharmaceutical clients across Europe, North America, and Asia, where MBJ currently generates roughly 40% of its total revenue.
Integrating Japanese specialized technical expertise with low-cost Indian operational scale presents clear long-term synergy potential for GTBL. The transaction establishes a vertically integrated contract manufacturing platform capable of handling complex API synthesis, precision enzymes, and advanced biologics, positioning the business to capture higher-margin global outsourcing demand.
