Gujarat Themis Biosyn expands into advanced modalities with INR13 billion acquisition of MicroBiopharm Japan

Gujarat Themis Biosyn Limited (GTBL) has agreed to acquire 100% of Japanese CDMO MicroBiopharm Japan (MBJ) from T Capital Partners for INR13 billion. The deal provides GTBL with high-end proprietary platforms in ADC conjugation and plasmid DNA, accelerating its transition into oncology and complex biologics.

Gujarat Themis Biosyn Limited (GTBL), a Mumbai-based pharmaceutical manufacturer specializing in fermentation-derived intermediates, has signed a definitive agreement to acquire 100% of MicroBiopharm Japan (MBJ). The transaction, valued at 13 billion INR, involves a buyout from the private equity firm T Capital Partners and will be executed through a Japanese special purpose vehicle.

Funding for the acquisition will be sourced through a combination of debt and equity, with a targeted closure in the second quarter of FY2027. MBJ is a specialized Contract Development and Manufacturing Organization (CDMO) that generated an estimated 9.5 billion Japanese Yen (approximately 5.70 billion INR) in FY 2026.

The acquisition is strategically significant as it grants GTBL access to sophisticated proprietary technologies, including Antibody-Drug Conjugate (ADC) conjugation, plasmid DNA platforms, and an extensive P450 enzyme library. These assets enable GTBL to pivot from basic fermentation to high-value segments such as oncology, immunosuppressants, and peptides. This move follows GTBL’s recent 1,700 crore INR acquisition of anti-infective marketing rights, signaling an aggressive vertical integration strategy.

For stakeholders, the deal is projected to be earnings per share (EPS) accretive, leveraging MBJ’s three operational facilities to establish a global manufacturing footprint. The integration of MBJ’s biologics and chemical synthesis capabilities allows GTBL to capture rising demand for advanced modalities in the global pharmaceutical supply chain. This transaction underscores the increasing trend of Indian pharmaceutical firms acquiring international specialized CDMOs to bridge the technological gap in complex biologic manufacturing and oncology APIs.
