INDIA —Indian state-owned defense company Hindustan Aeronautics Limited (HAL) has signed an agreement to acquire the remaining 50% equity shareholding in HATSOFF Helicopter Training from its joint venture partner, CAE Canada. Under the terms of the transaction, Hindustan Aeronautics Limited will acquire 38.40 million equity shares, each with a face value of ₹10, at nil consideration. Upon finalization of the share transfer, which is expected within 60 days of the agreement signing, HATSOFF will transition from a 50:50 joint venture into a wholly-owned subsidiary of Hindustan Aeronautics Limited (HAL). The acquisition has already secured administrative approval from the Department of Defence Production under the Ministry of Defence, following concurrence from the Department of Investment and Public Asset Management under the Ministry of Finance.
Hindustan Aeronautics Limited (HAL) is an Indian public sector defense and aerospace company headquartered in Bengaluru. It specializes in the design, development, manufacture, repair, and overhaul of aircraft, helicopters, aero-engines, and associated avionics. HATSOFF Helicopter Training, incorporated in January 2008, operates advanced simulator facilities to deliver pilot training services for both defense and civil aviation sectors across India. The target company generated revenues of ₹809.5 million in FY 2025-26, up from ₹695.5 million in FY 2024-25 and ₹664.9 million in FY 2023-24.
This strategic consolidation consolidates management control within Hindustan Aeronautics Limited (HAL), eliminating dual-shareholder overhead and streamlining operational governance. By integrating HATSOFF entirely into its corporate framework, Hindustan Aeronautics Limited (HAL) strengthens its vertically integrated training infrastructure, supporting key institutional clients including the Indian Air Force, Indian Army, Indian Navy, Indian Coast Guard, and Border Security Force, alongside civil operators such as Pawan Hans and Global Vectra. The transaction highlights a growing trend among domestic defense enterprise operators to fully internalize mission-critical training assets and simulator operational capabilities.
