ESTONIA; FINLAND —Industrial manufacturing group HANZA has concluded its purchase of five operational facilities from contract manufacturing provider Fortaco, securing a stronger foothold in Northern and Central Europe. The transaction encompasses assets situated in Kurikka and Sastamala in Finland, Narva in Estonia, and Wrocław and Janów Lubelski in Poland. Through this structural expansion, the acquiring enterprise incorporates approximately 1,300 personnel and expands its annual revenue baseline by roughly SEK 1.9 billion, bringing overall corporate sales to approximately SEK 12 billion alongside a workforce totaling 6,300 employees.
The deal was structured as a dual asset and share transaction based on an initial enterprise value of EUR 144 million, subject to adjustments for net debt and working capital requirements. Under the terms agreed upon by the parties, the transaction valuation yields an EV/EBITA multiple of approximately 8x relative to adjusted earnings for the trailing twelve months concluding in May 2026. Furthermore, contingent earn-out provisions tied to verified revenue expansion performance could extend total consideration up to EUR 200 million across two measurement windows concluding at the close of 2026 and 2027.
This structural expansion significantly bolsters regional production capacity for heavy steel frameworks, advanced mechanical fabrication, and integrated system testing involving hydraulic and electrical components. By consolidating these five operational entities into existing territorial manufacturing clusters, the organization aims to streamline supply chains for key multinational clients operating within industrial sectors such as automation, commercial machinery, and heavy equipment. The integration strategy relies on decentralized local accountability paired with shared corporate oversight to safeguard operational continuity during the transition phase.
For industrial conglomerates and institutional investors, the transaction illustrates ongoing consolidation trends within the European contract manufacturing market as firms seek scale and diversified geographical presence. By absorbing specialized production infrastructure previously owned by Fortaco-which streamlined its portfolio by retaining separate cabin-production operations-the purchasing group enhances its competitive positioning in heavy engineering verticals. Market participants will monitor integration milestones and subsequent financial performance reports to evaluate whether projected synergies materialize within the specified execution timeline.
HANZA AB is a publicly traded manufacturing enterprise founded in 2008 and listed on the Nasdaq Stockholm exchange, specializing in multi-technology production services and supply chain management across regional clusters.
