UNITED STATES OF AMERICA —Harrow, a North American ophthalmic disease management company, has completed the purchase of worldwide rights to the dry eye treatment TYRVAYA from Viatris, excluding Japan, where Viatris retains commercialization rights in exchange for future royalty payments to Harrow.
Under the financial terms, Harrow paid $30 million in upfront cash from existing funds, with potential contingent milestone payments tied to future net sales bringing the total transaction value up to $100 million. TYRVAYA, a cholinergic agonist delivered via nasal spray, is the first FDA-approved non-topical treatment designed to stimulate natural tear production. The medication currently holds regulatory approval in the U.S., China, and Taiwan, with additional global filings under review.
This transaction significantly strengthens Harrow’s position in the ophthalmic pharmaceutical market by expanding its dry eye franchise alongside its flagship prescription therapy VEVYE. By integrating TYRVAYA’s established prescriber base and onboarding approximately 40 commercial personnel from Viatris, Harrow scales its market penetration and operational infrastructure across specialty pharmacy channels and distribution networks in North America.
