Helyon Pte. Ltd. has completed a major share subscription, giving it a 63.68% stake in Green Build Technology Limited and triggering a mandatory unconditional cash offer under Singapore regulations. The offer prices shares at S$0.016 each, with the buyer intending to maintain the target's primary listing status.

SINGAPORE —Helyon Pte. Ltd. has finalized a strategic share subscription agreement, securing an aggregate of 600 million ordinary shares in Green Build Technology Limited and establishing a controlling 63.68% equity interest in the firm. This milestone follows the receipt of shareholder approval at an extraordinary general meeting and the formal satisfaction of all pre-conditions governing the transaction.

Green Build Technology Limited is a Singapore-incorporated enterprise listed on the Mainboard of the Singapore Exchange Securities Trading Limited, focusing primarily on sustainable development initiatives, old estate refurbishment consultancy, and hotel management services. The acquirer, Helyon Pte. Ltd., operates primarily within the data centre sector and is backed by holding entities managed by key regional directors.

Triggered automatically under the Singapore Code on Take-overs and Mergers and the Securities and Futures Act, the milestone requires the buyer to launch a mandatory unconditional cash offer for all remaining issued and paid-up ordinary shares not already under its control. The transaction establishes a cash consideration of S$0.016 per share, representing a discount to historical trading benchmarks over preceding twelve-month periods.

While the acquisition shifts controlling ownership to the new investor group, the current strategy emphasizes preserving the existing public listing status on the stock exchange. Strategic reviews of operations will follow the close of the offer period to determine optimal long-term business trajectories without introducing immediate structural disruptions to the workforce.
