CANADA; SWEDEN —Hexagon AB has entered into a definitive agreement to acquire Rocscience, a Toronto-based developer of geotechnical and engineering analysis software, for an enterprise value of USD 535 million on a cash-free, debt-free basis. The transaction, backed by sellers including TA Associates and the founding management team of the target, is anticipated to close during the fourth quarter of 2026, subject to standard regulatory conditions. Upon completion, the acquired entity will be integrated into the Radar and Monitoring Division of the acquirer’s Infrastructure and Geospatial Business Area.
This development is strategically significant as it eliminates the traditional disconnect between physical observation and predictive engineering. By merging continuous real-world sensor data, such as radar monitoring, with advanced subsurface modeling capabilities, the combined entity will establish a dynamic feedback loop. This integration allows live environmental data to automatically calibrate and update engineering models throughout the lifecycle of a project, from initial design to active operations.
The transaction directly impacts stakeholders in the mining, civil engineering, and energy sectors, where geological risk assessment is paramount. Operators managing critical assets like tunnels, dams, and open-pit mines will benefit from accelerated risk detection and more rapid intervention protocols. Consequently, this technological convergence is expected to reduce analytical bottlenecks, lower operational downtime, and elevate overall site safety standards across these high-stakes industries.
From a market perspective, the acquisition underscores the growing valuation of software assets that complement industrial hardware ecosystems. The target is projected to generate approximately USD 50 million in revenue for the current calendar year, characterized by an annual recurring revenue model exceeding 80 percent and operating margins surpassing 40 percent. Hexagon, a Swedish multinational specializing in digital reality solutions, leverages this purchase to expand its high-margin software portfolio. For investors, the deal represents an accretive move that strengthens competitive positioning in the rapidly expanding market for automated, data-driven infrastructure monitoring and predictive maintenance.
