IL JIN Electronics (India) Limited has finalized a share swap agreement to acquire the remaining 40% equity stake in Power-One Micro Systems Private Limited, consolidating full ownership under a non-cash transaction structure.

INDIA —IL JIN Electronics (India) Limited, a material subsidiary of Amber Enterprises India Limited, has executed a definitive share swap agreement to purchase the remaining 40% minority stake in Power-One Micro Systems Private Limited. The transaction involves acquiring 1,75,680 equity shares from existing private sellers, resulting in Power-One becoming a wholly-owned subsidiary of both IL JIN and its parent entity. As non-cash consideration, the purchaser will issue and allot 1,76,000 compulsorily convertible preference shares at a valuation of Rs. 10,000 each, which includes a substantial premium on the face value.

This structural consolidation eliminates minority shareholdings and simplifies the corporate hierarchy within the group's manufacturing ecosystem. Power-One operates in the renewable energy and power electronics sector, producing solar inverters, uninterruptible power supplies, battery energy storage systems, and electric vehicle chargers. By securing 100% equity control, the parent organization tightens operational oversight, streamlines capital allocation, and integrates its component supply chain more deeply into high-demand green technology segments.

The consolidation carries notable implications for the broader electronics manufacturing and renewable energy industries. As demand accelerates for domestic clean-tech infrastructure, grid stabilization components, and electric mobility hardware, supply chain integration becomes a critical lever for margin protection and manufacturing scale. Consolidating ownership allows corporate groups to eliminate governance friction between parent units and step-down subsidiaries, accelerating decision-making processes for capacity expansions and technology upgrades in power electronics.

For corporate strategists and market participants, the transaction highlights an increasing preference for equity-swap structures in consolidation initiatives, preserving liquidity while aligning the interests of selling founders through convertible instruments. Investors monitoring industrial manufacturing and energy transition plays can anticipate tighter operational synergies and improved financial reporting transparency as Power-One transitions into a wholly-owned operating unit. The transaction requires no regulatory clearances and is scheduled for completion within ten business days.
