Intelligent Protection Management Corp. has agreed to acquire the information technology and telecommunications solutions business of Advanced Technology Distributors Inc. for up to 2.7 million US dollars. The transaction is structured in two stages pending regulatory approvals from the California Public Utilities Commission.

UNITED STATES OF AMERICA —Managed technology solutions provider Intelligent Protection Management Corp. has entered into a definitive purchase agreement to acquire the information technology, telecommunications, connectivity, and managed services operations of Advanced Technology Distributors Inc. for a total consideration of up to 2.7 million US dollars, subject to customary adjustments. The acquisition will be executed in a two-stage closing structure through a newly formed subsidiary, AdTech IT LLC, with initial acquisition of a 49% membership interest followed by the remaining 51% upon receipt of regulatory clearances.

Intelligent Protection Management Corp. is a Nasdaq-listed managed technology solutions provider specializing in enterprise cybersecurity and cloud infrastructure. Advanced Technology Distributors Inc. is a technology services firm delivering information technology, telecommunications, and managed connectivity solutions to small and medium-sized enterprises across central and northern California.

The first closing is contingent upon approval from the California Public Utilities Commission regarding the transfer of a competitive local exchange carrier license to the joint venture entity, while the final closing requires subsequent change-of-control authorization. The transaction purchase price comprises cash payments, a seller note, and performance-based earnout milestones, after which the target business will operate as a wholly owned subsidiary of the acquiring corporation.

This strategic transaction highlights ongoing consolidation within the managed services provider market as operators seek to scale recurring revenue models and expand regional footprints. For enterprise clients, technology investors, and regional businesses, integrating specialized IT infrastructure with advanced cybersecurity platforms enhances service capabilities, broadens cross-selling opportunities, and strengthens operational resilience across telecommunications and cloud networks.
