ITL Holdings Limited has reached an agreement to acquire Sweden-based packaging and labeling solution provider Rudholm Group, diluting Sabvest Capital's stake in ITLH to 30.5% while positioning the combined enterprise for cross-border operational synergies.

JERSEY; SOUTH AFRICA In a major cross-border consolidation within the global apparel supply chain, ITL Holdings Limited has entered into a definitive agreement to purchase 100% of Sweden-based Rudholm Group International AB and Bamatex AB. The transaction, funded through internal resources, expanded credit facilities with RMB, and equity issuance, will result in the Jonas Wollin family and Rudholm's executive management acquiring an 11% stake in the combined entity, alongside board representation. Consequently, South African investment holding firm Sabvest Capital Limited will see its shareholding in ITLH dilute from 34% to 30.5%. Pending regulatory clearance, including Swedish foreign direct investment approval, the transaction is expected to close by the end of August 2026.

This strategic integration addresses the growing demand for end-to-end global supply chain solutions, expanding product diversity and market reach across major retail hubs. ITL Group specializes in apparel labeling, identification products, and supply chain technologies, including RFID, serving clothing manufacturers worldwide from operations across 15 countries. Rudholm Group, founded in 1951, supplies packaging, labeling, trims, and digital solutions for apparel and footwear, maintaining a network of 9 manufacturing hubs and 20 offices across Europe, Asia, and North America.

The transaction creates substantial opportunities for cross-selling and operational integration due to minimal overlap in existing client portfolios. By combining ITL's identification technologies with Rudholm's extensive packaging and trim capabilities, the consolidated entity enhances its competitive positioning against global labeling peers. Co-locating manufacturing and distribution operations in shared regions is projected to optimize supply chain efficiencies and lower overhead costs.

For market participants and institutional investors, the acquisition highlights accelerating consolidation among secondary apparel suppliers seeking resilience against global supply chain volatility. Sabvest Capital anticipates the deal will be value accretive despite the ownership dilution, reinforcing investor confidence in scaled, multi-regional supply chain platforms.
