Kesko has officially completed its EUR 1.2 billion acquisition of technical trade businesses Dahl in Sweden and Brødrene Dahl in Norway and Denmark from Saint-Gobain. The transaction adds EUR 2.1 billion in net sales, significantly strengthening Kesko’s market position across the Nordic region.

DENMARK; FINLAND —Kesko has concluded its acquisition of technical trade businesses Dahl in Sweden and Brødrene Dahl in Norway and Denmark from Saint-Gobain. The debt-free purchase price stands at EUR 1.2 billion, excluding lease commitments. Initially, the transaction is being funded via bridge financing, with plans for subsequent refinancing through equity and debt instruments.

The acquired operations generated combined net sales of EUR 2.1 billion in 2025, distributed across Sweden at EUR 900 million, Norway at EUR 600 million, and Denmark at EUR 500 million. Dahl will be consolidated into financial reporting starting November 1, 2026, with non-recurring transaction costs estimated at EUR 9 million for the year. The businesses will operate as separate units under their current brand names and report directly to the building and technical trade division.

This transaction significantly expands market presence in the Nordic technical trade sector, driven by structural growth factors including urbanisation, the green transition, and complex construction requirements. By incorporating these assets, purchasing volumes for heating, plumbing, air conditioning, and cooling products will nearly triple to approximately EUR 3 billion, unlocking scale efficiencies and procurement synergies.

The deal impacts the construction, distribution, and infrastructure supply chains across Sweden, Norway, and Denmark. It positions the combined entities as a dominant market player, altering competitive dynamics for regional contractors, system integrators, and industrial clients relying on technical building systems and automated supply networks.

For investors and corporate strategists, the transaction marks a major portfolio expansion within the Nordic building supplies market. While near-term financial impacts are expected to be minimal due to seasonal lulls and integration costs, the consolidation provides a strategic platform to leverage recovering construction markets and harmonize digital platforms over a projected 12-to-18-month transition window.

Kesko is a Finnish trading sector operator engaged in the grocery trade, building and technical trade, and car trade operations across Northern Europe. Saint-Gobain is a French multinational corporation that designs, manufactures, and distributes materials and solutions for construction and industrial markets.
