UNITED STATES OF AMERICA —Global diagnostics enterprise Laboratory Corporation of America Holdings (Labcorp) has entered into a definitive asset purchase agreement with OPKO Health, Inc. to acquire specific clinical testing assets from BioReference Health, LLC. Under the financial structure, Labcorp will pay an initial upfront cash consideration of 722 million US dollars at closing, subject to revenue adjustments, alongside a potential earnout valuation of up to 150 million US dollars linked to future performance metrics of the proprietary 4Kscore prostate cancer diagnostic test. The acquired operations are projected to generate approximately 250 million US dollars in revenue during the first full year following transaction completion.
Laboratory Corporation of America Holdings is a NYSE-listed clinical laboratory provider delivering comprehensive diagnostic testing, drug development, and healthcare technology solutions globally. OPKO Health, Inc. is a Nasdaq-listed multinational biopharmaceutical and diagnostics firm, whose wholly owned subsidiary BioReference Health operates specialized clinical testing networks and proprietary diagnostic platforms across the United States.
The asset transfer incorporates BioReference Health's specialized clinical and women's health testing platforms, urology diagnostics, correctional health services, and more than 80 patient service centers. Additionally, Labcorp acquires the proprietary, FDA-approved 4Kscore blood test for prostate cancer risk assessment. The deal enables OPKO Health to streamline its operational model and allocate capital toward its core biopharmaceutical R&D pipeline, while Labcorp integrates the regional testing facilities into its centralized national infrastructure.
This transaction reflects ongoing structural consolidation across the US clinical laboratory sector as national diagnostic providers leverage scale to counter margin compression and rising operational overhead. For healthcare systems, medical practice groups, and payors, integrating specialized regional testing networks into national laboratory platforms expands access to advanced diagnostic testing, optimizes digital health analytics, and improves patient service accessibility across regional healthcare markets.
