CANADA —Lahontan Gold Corp. has signed a definitive arrangement agreement to acquire all issued and outstanding common shares of Emergent Metals Corp. through a court-approved plan of arrangement. Under the terms of the deal, Emergent shareholders will receive 1 share of Lahontan for every 3.21 Emergent shares held, representing an implied price of $0.115 per share. Upon closing, Lahontan equity holders will retain approximately 95.3% ownership of the combined entity, while Emergent shareholders will hold the remaining 4.7%.
This consolidation significantly enhances Lahontan's balance sheet and asset footprint across the Walker Lane trend in Nevada. The transaction eliminates approximately $2.39 million ($1.73 million) in future cash payments previously needed to fully acquire West Santa Fe, alongside cancelling a 1% net smelter return royalty on the asset. Furthermore, the agreement extinguishes royalty claims on 27 claims at the Santa Fe Mine project, cancels 2 million Lahontan common shares held by Emergent, and absorbs a $4.83 million ($3.5 million) promissory note alongside equity holdings from a prior asset disposition.
