Tiara Gateway, an indirect subsidiary of Landmarks Berhad, has signed a share purchase agreement to acquire a 5.10% stake in Mendol Investments for MYR 4.48 million, payable via the issuance of new Landmarks ordinary shares.

MALAYSIA; SINGAPORE —Tiara Gateway Pte Ltd, an indirect wholly-owned subsidiary of Landmarks Berhad, has entered into a conditional share sale agreement to acquire a 5.10% equity stake in Mendol Investments Pte Ltd. The total purchase consideration of MYR 4.48 million will be settled through the issuance and allotment of new ordinary shares in Landmarks Berhad to the vendors, namely Wong Ho Kit, Sim Swee Yoke, and Golden Prosperity LLP. The transaction involves the acquisition of 248,288 ordinary shares in Mendol Investments.

Landmarks Berhad is a Malaysia-listed investment holding company primarily engaged in hospitality, property development, and resort operations, known for managing integrated resort and lifestyle destinations across Southeast Asia. The strategic move to consolidate equity in Mendol Investments aligns with the company's long-term objectives to strengthen control over its underlying resort assets and leverage capital structures efficiently without draining existing cash reserves.

By utilizing new equity issuance rather than cash to fund the transaction, Landmarks Berhad preserves operational liquidity while restructuring its holdings. This development directly impacts the hospitality, real estate, and financial investment sectors across Malaysia and Singapore, providing vendor investors with equity exposure in the listed parent entity while deepening Landmarks Berhad's asset integration.

For market participants and corporate strategists, equity-settled transactions reflect an ongoing corporate trend of non-cash asset consolidation among regional property and hospitality developers seeking to optimize capital structures amidst evolving market dynamics. The transaction remains subject to necessary regulatory and shareholder approvals required under local stock exchange listing rules.
