CANADA; MEXICO —Canadian junior producer Luca Mining Corp. has executed a definitive asset purchase agreement with Agnico Eagle Mines Limited to acquire 100% of the El Barqueño exploration and development property located in Jalisco, Mexico. Under the terms of the transaction, Luca Mining will provide Agnico Eagle with $10 million in common equity upon closing, alongside up to $30 million in deferred milestone payments linked to initial drilling and commercial production startup. Agnico Eagle is also eligible for up to $20 million in additional production-contingent consideration based on cumulative gold equivalent output, plus a 2.0% net smelter return royalty on defined resource zones, half of which Luca can repurchase for $12.5 million. The deal is slated for completion in the fourth quarter of 2026, pending approvals from the TSX Venture Exchange and the Mexican Federal Economic Competition Commission.
