Madison Air to acquire ebm-papst in €5.1 billion push into global cooling markets

Madison Air has agreed to acquire German ventilation and airflow technology group ebm-papst at an enterprise value of €5.1 billion. The transaction would combine Madison Air’s North American air-quality platform with ebm-papst’s European and Asian footprint, strengthening exposure to data centers, AI infrastructure, energy efficiency and advanced cooling systems.

Madison Air has reached an agreement with the owner families of German ventilation technology group ebm-papst to acquire the company for an enterprise value of €5.1 billion. The transaction remains subject to regulatory approvals and customary closing conditions and is expected to close around the end of 2026.

The deal brings together two businesses with complementary geographic positions. Madison Air has built most of its operations in the United States, while ebm-papst has an established presence across Europe and Asia. Following completion, ebm-papst will retain its headquarters in Mulfingen, Germany, as well as its research and manufacturing activities there. The company employs more than 13,000 people globally, including about 5,800 in Germany.

The strategic rationale is closely tied to rising demand for thermal management and airflow systems in data centers and AI infrastructure. Increasing computing density is driving requirements for more efficient and scalable cooling equipment, while electrification and energy-efficiency initiatives are creating additional demand across industrial and building applications. Combining ebm-papst’s fan, motor and engineering capabilities with Madison Air’s air-quality portfolio could broaden access to these markets.

For Madison Air, the acquisition represents a significant expansion beyond its predominantly North American base and adds a large European technology and manufacturing platform. Madison Air provides engineered air-quality solutions for sectors including healthcare, advanced manufacturing, cleanrooms, data centers and residential applications. The company became publicly listed on the NYSE in April 2026.

For ebm-papst, the transaction provides access to Madison Air’s U.S. commercial platform and capital markets while potentially supporting further investment in manufacturing, supply-chain capabilities and international sales. Its existing exposure to data-center cooling gives the combined group a direct position in a market benefiting from sustained investment in AI computing and digital infrastructure.

The transaction also has implications for industrial equipment suppliers and customers seeking integrated cooling and air-management systems. A broader geographic footprint could improve cross-market distribution and create opportunities to combine technologies across commercial, industrial and mission-critical applications. Investors will nevertheless need to assess regulatory clearance, transaction financing and the execution required to integrate the businesses while maintaining ebm-papst’s established operations and customer relationships.
