Federal Reserve Building

Merck has signed a definitive agreement to acquire life science tools provider Bio-Techne for USD 73 per share in cash, valuing the company at approximately USD 11.3 billion to enhance its end-to-end biological research and manufacturing capabilities.

According to official disclosures, Merck has entered into a definitive merger agreement to acquire Bio-Techne Corporation in an all-cash transaction valued at approximately USD 11.3 billion (EUR 9.9 billion). The purchase price of USD 73 per share represents a 36% premium over Bio-Techne’s one-month volume-weighted average trading price. The transaction is expected to close by late 2026 or early 2027, subject to customary closing conditions, regulatory clearances, and shareholder approval. Merck is a global science and technology company operating across life sciences, healthcare, and electronics, while Bio-Techne is a provider of life science tools, consumables, and analytical technologies.

This major consolidation aims to integrate Bio-Techne’s extensive portfolio in recombinant proteins, antibodies, and automated protein detection with Merck’s global scale. By absorbing these specialized product lines, Merck will bridge critical gaps in its workflow offerings, spanning early-stage scientific discovery through to commercial pharmaceutical manufacturing. Financially, the deal is projected to be immediately accretive to Merck’s EBITDA pre margin upon closing, with expected annual cost synergies of approximately EUR 140 million by the third year.

The acquisition heavily impacts the biopharma, diagnostics, and life sciences sectors, particularly within rapidly expanding domains like multi-omics, spatial biology, and cell and gene therapy. It signals a continuing trend of large-scale consolidation among suppliers of specialized laboratory consumables and analytical equipment as providers seek to offer comprehensive, integrated solutions to pharmaceutical developers.

For strategic investors and enterprises, this move emphasizes the high premium placed on innovative laboratory tools and proprietary diagnostics platforms. The combined entity will leverage a vast international distribution network, potentially intensifying competition among top-tier life science suppliers and reshaping sourcing strategies for biotech firms worldwide.
