Under the terms of the transaction, North Capital will operate as a wholly owned subsidiary of MoonPay, integrating its registered entities into MoonPay's broader financial services platform. The deal includes North Capital's broker-dealers, transfer agent, investment adviser, and its SEC-registered Alternative Trading System, PPEX ATS. The transaction has received unanimous approval from the boards of directors of both entities and is expected to close following customary regulatory approvals and closing conditions.

North Capital Investment Technology is a financial software and services provider that delivers API-driven infrastructure, capital raising tools, custody solutions, and secondary market trading platforms for private placement securities and tokenized assets.
