Nebius Group has finalized a USD 3.5 billion senior secured credit facility with Citi, aimed at accelerating global data center development and hardware procurement to support rapid growth in the artificial intelligence sector.

NETHERLANDS; UNITED STATES OF AMERICA —Nebius Group N.V. has executed a USD 3.5 billion senior secured credit agreement with banking institution Citi. The newly established financial instrument carries a 364-day maturity schedule and begins with a baseline interest rate calculated at Term SOFR plus 2.75% per annum, subject to upward adjustments capped at 3.50% alongside additional financial provisions. Designated capital allocations from the facility are directed toward accelerating infrastructure development, specifically targeting advanced data center construction projects and enterprise-grade graphical processing unit procurement, in addition to supporting broader corporate operational expenditures.

This debt arrangement provides the AI cloud provider with flexible access to liquidity, supplementing existing cash generation mechanisms and enterprise customer prepayments. By diversifying its capital structure, corporate leadership retains strategic autonomy regarding the timing and architecture of future external equity or debt issuances. The financial maneuvering aligns with broader efforts to optimize long-term capital costs while scaling computational capacity to meet surging enterprise demand for advanced machine learning workflows.

The transaction carries significant implications for the global artificial intelligence infrastructure market, particularly cloud service providers and hardware manufacturers competing to expand data center footprints. Stakeholders across the technology sector face intense capital expenditure requirements to maintain competitive positioning in large-scale model training and cloud deployment. Financial institutions and institutional investors closely monitor such funding structures as bellwethers for liquidity management and debt capacity within high-growth technology segments.

Nebius Group N.V. is an artificial intelligence cloud enterprise headquartered in Amsterdam and publicly traded on the Nasdaq exchange, specializing in providing full-stack platforms for developers and enterprise clients. Citi is a multinational financial services corporation acting as the mandated lead arranger, agent, and security agent for the financing agreement.
