UNITED STATES OF AMERICA —New Era Energy & Digital has entered into a securities purchase agreement for a private investment in public equity (PIPE) financing expected to generate approximately USD 64 million in gross proceeds. Under the agreement, the company will issue 23.27 million common shares at USD 2.75 per share. The transaction is scheduled to close on October 30, 2026, subject to customary closing conditions.
The capital raise is intended to address near-term financing requirements while supporting the company's development programme in Texas. New Era plans to use the net proceeds to repay recent borrowings under its Macquarie facility, meet working capital requirements and fund general corporate purposes. The financing is also expected to support ongoing leasing discussions covering a potential 757 MW development across the first two phases of its Texas Critical Data Centers (TCDC) facility.
The project has an initial power commitment in place, with Phase 1 securing up to 207 MW of firm contracted electricity under a 20-year power purchase agreement. Power delivery is expected to begin in the third quarter of 2027. The distinction between secured power capacity and the broader 757 MW leasing target is significant for prospective data centre tenants, as access to reliable electricity is a key consideration in the development and operation of high-density computing facilities.
New Era Energy & Digital is a United States-based developer focused on digital infrastructure and integrated power assets. Its business model links electricity supply with large-scale computing facilities, positioning the company within the expanding data centre infrastructure market. The Texas development forms a central part of its current expansion strategy.
The financing has implications for both the digital infrastructure and energy sectors. Data centre developers require substantial and dependable power capacity to accommodate growing computing workloads, while electricity providers and infrastructure investors are assessing opportunities linked to this demand. In Texas, the proposed development adds to activity around large-scale facilities seeking long-term power arrangements.
For investors, the PIPE provides the company with additional liquidity and a route to address existing facility borrowings, although the issuance will increase the number of outstanding shares and may dilute existing shareholders. The company has also referred to an existing option for up to USD 200 million in post-lease financing under its Macquarie facility. The ability to convert leasing discussions into long-term commitments will therefore remain an important factor in determining the project's financing requirements and execution timeline.
