Private equity firm Odyssey Investment Partners has acquired a majority stake in Falcon Gases, fueling its buy-and-build strategy in the industrial gas sector. Concurrently, Falcon executed its initial buy-and-build transaction by purchasing California-based supplier Encore Gas & Supply.

UNITED STATES OF AMERICA —Middle-market private equity firm Odyssey Investment Partners has secured a majority controlling stake in Falcon Gases, establishing a new growth platform focused on the packaged gas and industrial supply market. As part of its inaugural strategy to consolidate independent distributors, Falcon simultaneously completed the purchase of Encore Gas & Supply, a regional distributor operating three facilities in Southern California.

Falcon Gases is a packaged gas distribution platform established in late 2025 by industry executives specializing in private equity-backed corporate buy-and-build strategies. Encore Gas & Supply, founded in 2014, provides industrial and medical gas cylinder distribution, bulk gas sales, welding equipment, and technical support services. Odyssey Investment Partners is a private equity firm with over 25 years of experience executing majority-controlled investments in industrial and business services enterprises.

This transaction highlights an accelerating trend of institutional capital deployment into fragmented industrial supply markets. Independent distribution platforms in the industrial, specialty, and welding gas sectors face rising operating costs, supply chain complexities, and succession planning challenges. Institutional backing allows regional platforms to scale rapidly through bolt-on acquisitions, optimizing purchasing leverage and expanding technical service capabilities across key manufacturing hubs.

The move creates a well-capitalized competitor capable of challenging national industrial gas providers in regional territories. Industrial gas distribution remains a high-margin, resilient sector due to recurring cylinder rental revenues and essential demand across fabrication, healthcare, infrastructure, and advanced manufacturing sectors.
