FINLAND —Pihlajalinna Plc has been selected for exclusive contract negotiations to acquire all shares in Keski-Uudenmaan Työterveys Oy and Uudenmaan Työterveys Oy for an aggregate net debt-free purchase price of EUR 19.5 million. The transaction is being negotiated with the Wellbeing Services Counties of Central Uusimaa and Western Uusimaa, alongside nine regional municipalities. Pihlajalinna plans to fund the cash transaction through its existing credit facility, with full operational transfer anticipated at the start of 2027 subject to final procurement procedures and regulatory clearances.
Pihlajalinna Plc is a Finnish social and healthcare service provider listed on Nasdaq Helsinki. The company operates private medical centers, occupational healthcare networks, and public-sector healthcare partnerships, generating EUR 652 million in revenue in 2025 while employing around 4,500 staff and 2,300 affiliated practitioners.
Under the proposed agreement, Pihlajalinna will take over 12 private clinics, 80 healthcare professionals, and approximately 24,000 occupational health customers. The deal includes five-year service agreements covering occupational healthcare for 16,000 personnel within the selling public entities. The target companies generated combined revenue of approximately EUR 11.7 million in 2025. Pihlajalinna projects that revenue from the acquired assets will more than double over the next five years, reaching profitability aligned with its medium-term financial targets.
The strategic expansion targets a growing regional population of 360,000 residents across municipalities including Hyvinkää, Sipoo, and Tuusula. Pihlajalinna plans to convert selected local facilities into full-service medical centers to scale its presence among private clients, corporate occupational accounts, and insurance partners. This consolidation highlights an ongoing trend of public sector entities outsourcing occupational care assets to private operators to streamline regional health delivery systems.
